Terms of Service

You must be at least 13 years old to use the Service. If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and references to "you" will include that entity.

You may use the Service only in compliance with applicable law and only for lawful purposes.

You are responsible for providing accurate account information and for keeping your login credentials confidential. You are responsible for all activity that occurs under your account, whether or not you authorized that activity.

You must notify FactSim promptly if you believe your account has been compromised or used without authorization. FactSim may require you to take reasonable steps to secure your account before restoring access.

FactSim provides software tools that support scenario modeling, forecasting, simulation, planning, research assistance, and related AI-assisted workflows. The Service may evolve over time, and FactSim may add, remove, modify, suspend, or discontinue features at any time.

Some features may be labeled experimental, preview, beta, or otherwise subject to change. Those features may be less stable, may be withdrawn without notice, and may produce incomplete results.

The Service and all outputs are provided for informational, creative, and planning purposes only. They do not constitute medical, legal, tax, accounting, investment, insurance, employment, housing, mental health, or other professional advice, and they are not a substitute for consultation with qualified professionals.

You may not rely on the Service for emergency response, life-critical decisions, or any use case where inaccurate, delayed, or incomplete output could reasonably be expected to cause death, personal injury, property damage, or significant legal or financial harm.

You retain ownership of the text, prompts, files, audio, personal information, and other content you submit to the Service ("User Content"). By submitting User Content, you grant FactSim a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, transmit, and process that User Content solely as necessary to provide, maintain, secure, support, and improve the Service.

You represent and warrant that you have all rights, permissions, and legal authority necessary to submit User Content to the Service and to permit the processing described in these Terms. If your User Content contains information about other people, you are responsible for ensuring that your collection and submission of that information is lawful.

FactSim uses automated systems and third-party model providers to generate outputs. Those outputs are probabilistic, may contain errors, and may not be unique. Similar or identical output may be generated for other users.

You are solely responsible for reviewing, evaluating, and deciding whether to use any output. Your rights in generated output, if any, are subject to applicable law, these Terms, and any third-party provider terms that apply to the underlying technology.

You may not, and may not encourage or help others to, do any of the following:

The Service may incorporate or rely on third-party services, including hosting providers, authentication tools, analytics tools, payment processors, AI model providers, search services, transcription services, and integration partners. Those services are not controlled by FactSim, and your use of them may be subject to separate third-party terms and privacy policies.

FactSim is not responsible for third-party services, their availability, or their content. If a third-party service becomes unavailable or changes its terms, FactSim may modify the related feature of the Service accordingly.

Certain features of the Service may require payment now or in the future. If you purchase a paid feature, you agree to pay the fees, taxes, and other charges presented at the time of purchase and authorize FactSim or its payment processor to collect those amounts using your selected payment method.

Unless otherwise stated at checkout, fees are non-refundable except as required by law. FactSim may suspend or limit access to paid features if payment cannot be completed or is later reversed.

The Service, including its software, interface, design, prompts, workflows, compilation, documentation, and all related intellectual property rights, is owned by FactSim or its licensors and is protected by applicable law.

Subject to these Terms, FactSim grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purposes. Except as expressly permitted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

If you provide suggestions, ideas, comments, or other feedback regarding the Service, FactSim may use that feedback without restriction or compensation to you. This does not limit your rights in your User Content, but it does mean FactSim is free to incorporate product feedback into its services and documentation.

FactSim may suspend, restrict, or terminate your access to all or part of the Service at any time if we reasonably believe you have violated these Terms, created legal exposure, misused the Service, posed a security risk, or if suspension is otherwise necessary to protect the Service or others.

You may stop using the Service at any time. Upon termination, provisions that by their nature should survive will remain in effect, including provisions relating to intellectual property, disclaimers, liability limits, indemnification, dispute-related terms, and any accrued payment obligations.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACTSIM DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND SYSTEM INTEGRATION.

FactSim does not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any output will be accurate, complete, lawful, reliable, or suitable for your needs.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACTSIM AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF FACTSIM FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FACTSIM FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

You agree to defend, indemnify, and hold harmless FactSim, its affiliates, licensors, service providers, and personnel from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

FactSim may modify the Service or these Terms from time to time. If we update these Terms, we will post the revised version and update the effective date above. Changes will become effective when posted unless a later date is stated.

Your continued use of the Service after updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

These Terms and any dispute arising out of or relating to the Service or these Terms are governed by the laws of the jurisdiction in which the Service operator is established, without regard to conflict-of-law principles, except to the extent superseded by applicable law.

Subject to applicable law, you and FactSim agree that any dispute that cannot be resolved informally will be brought in the state or federal courts located in that jurisdiction, and each party consents to the personal jurisdiction of those courts.
